1. Client Service Agreement
1.1 Scope of Services
W3AYS Photography provides professional photography, videography, post-production editing, documentary filmmaking, and multimedia storytelling services as set out in an accepted written Quotation or Production Brief.
1.2 Quotations & Acceptance
All quotations are valid for 30 calendar days from the date of issue. A booking is formally accepted and locked into the production calendar only upon receipt of:
- A signed Quote Acceptance Form or written confirmation; and
- A 50% non-refundable booking deposit into the designated W3AYS bank account.
1.3 Invoicing & Payment Terms
- Deposit: A 50% booking deposit is required upfront to secure shoot dates, equipment, and crew.
- Final Balance: The remaining 50% balance is payable on the day of production or strictly prior to the release/unmasking of final high-resolution, unwatermarked deliverables.
- Milestone Payments (Projects > R20,000): For documentary, commercial, or extended campaigns exceeding R20,000, billing follows a structured milestone schedule:
- 40% upon contract signing / pre-production inception;
- 30% upon completion of principal photography / shoot wraps;
- 30% upon approval of the rough cut and prior to final master delivery.
- Late Payments: Overdue balances incur interest at 2% per month (or the maximum statutory rate under South African law) calculated daily from the due date until full settlement. Delivery of all master files will be withheld until all accounts are settled.
1.4 Variations & Change Requests
Any changes in project scope, additional shooting hours, extra locations, or structural creative changes requested after production has commenced will be quoted separately and billed as a scope variation.
1.5 Client Delays & Cooperation
The Client is responsible for providing timely access to shoot locations, designated talent/personnel, brand assets, and creative feedback. Delays exceeding 30 calendar days in providing feedback or required assets may result in project archiving and a reactivation administrative fee.
1.6 Intellectual Property & Usage License
W3AYS Photography retains master copyright and authorship over all original visual and audio works under the South African Copyright Act No. 98 of 1978. Upon settlement of all invoices in full, the Client is granted a non-exclusive, perpetual, worldwide license to use, publish, broadcast, and display the final edited deliverables for the purposes agreed in the quotation. Raw, unedited footage (RAW files/flat profiles) and project working files remain the exclusive property of W3AYS and are not included in standard deliverables unless negotiated under a separate buyout agreement.
1.7 Confidentiality
Both parties agree to treat all proprietary information, unreleased campaign materials, and private communications as strictly confidential.
1.8 Limitation of Liability & Indemnity
W3AYS maintains professional equipment and backup workflows. However, in the improbable event of total photographic/footage loss caused by catastrophic equipment failure, data corruption, theft, accident, or force majeure: W3AYS's aggregate financial liability is strictly capped at the total fee paid by the Client for that specific assignment. W3AYS is not liable for indirect, incidental, or consequential damages.
1.9 Dispute Resolution & Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Any dispute arising out of this agreement shall first be referred to good-faith mediation before either party may initiate proceedings in a competent court in South Africa.
2. Photography & Videography Production Agreement
(Applicable to Events, Corporate Coverage, Promotional Videos, Brand Shoots, and Interviews)
2.1 Deliverables & Technical Specifications
- Photography: Professionally edited, color-corrected, high-resolution JPEG files (and web-optimized variants) delivered digitally.
- Videography: Master video exports in 4K UHD or Full HD (1080p) MP4/MOV formats, mastered with calibrated color grading, audio leveling, licensed music/soundtrack, and subtitles where specified.
- Cloud Delivery Window: All digital deliverables are supplied via a secure Google Drive shareable link. The Google Drive link remains active for 14 calendar days from the date of delivery. Clients must download and verify all files within this 14-day window. Archival retrieval requests after 14 days incur a data retrieval fee of R350.
2.2 Turnaround Timelines
- Standard Photography & Event Highlight Reels: 5 to 7 business days following the shoot.
- Corporate & Commercial Video Productions: 10 to 15 business days for first cut.
- Documentaries & Multi-Part Series: As scheduled in the Project Timeline / Milestone Schedule.
2.3 Location Access, Permits & On-Site Safety
The Client is responsible for securing all venue permissions, photography permits, parking access, and site clearances prior to call time. If a filming location is deemed unsafe or hazardous to crew or equipment, W3AYS reserves the right to pause production until safety is ensured without penalty.
2.4 Creative Review & Revision Policy
Standard quotations include two (2) rounds of consolidated creative revisions on video drafts (e.g., minor cut adjustments, text/title spelling corrections, pacing tweaks). Revision requests must be submitted in writing within 7 calendar days of receiving a review link. Requests for structural narrative changes, new script directions, or additional shoot days outside the initial brief are billed at standard hourly editing rates (R650/hr) or standard day rates.
2.5 Travel, Subsistence & Logistics
Travel within a 30 km radius of W3AYS operating bases (Centurion / Cape Town depending on operational base) is included unless stated otherwise. Travel beyond this radius is billed at standard AA per-kilometer rates. Long-distance road travel, flights, vehicle hire, and accommodation are billed at cost to the Client upon prior written approval.
2.6 Weather & Environmental Contingencies
For outdoor shoots, if inclement weather prevents filming, W3AYS will cooperate with the Client to reschedule to the earliest mutually available date without penalty, provided 24 hours' notice is given. If weather forces a cancellation on the shoot day after the crew has mobilized, incurred transport and crew day rates remain payable.
2.7 Technical Redundancy & Equipment Backup
W3AYS operates with dual-slot recording cameras, secondary backup audio systems, and multi-drive storage redundancy on every commercial project to mitigate equipment failure risks.
3. NGO & Foundation Documentary Agreement
(Specially designed for the Desmond Tutu Health Foundation, Non-Profit Organizations, Philanthropic Trusts, Donor-Funded Projects, and Community Impact Storytelling)
3.1 Ethical Storytelling & "Do No Harm" Principles
W3AYS Photography approaches all community, healthcare, and humanitarian storytelling with deep respect, dignity, and cultural sensitivity: Storytelling must never exploit vulnerability, reinforce disempowering stereotypes, or misrepresent the lived reality of participants. Participants must be treated as active narrative partners rather than passive subjects.
3.2 Participant Safeguarding & Informed Consent
W3AYS and the NGO Partner will ensure every featured participant provides informed, voluntary, written or recorded verbal consent prior to filming. For health-related, sensitive social topics (including Gender-Based Violence, HIV/TB research, mental health, trauma), specialized trauma-informed interview protocols will be implemented.
3.3 Anonymity & Identity Protection Protocols
Where requested by a participant or required for legal/safeguarding protection, W3AYS provides tiered de-identification measures:
- Pseudonymization: Use of alternative names and omission of specific geographical identifiers.
- Visual Anonymity: Silhouette lighting, out-of-focus framing, digital face-blurring, or cutaway-only coverage.
- Audio Anonymity: Digital pitch modulation and voice alteration to conceal vocal identity.
3.4 Multi-Stakeholder Content Review & Donor Compliance
W3AYS will provide a private review link of the rough cut and fine cut to the NGO's designated Communications/Ethics team. The review period allows the organization to verify scientific/clinical accuracy, donor compliance standards, and safeguarding commitments prior to public release.
3.5 Licensing, Donor Reporting & Distribution Rights
- NGO Rights: The NGO Partner receives a perpetual, irrevocable, worldwide, royalty-free license to use the final documentary across donor reporting, grant submissions, website streaming, social media campaigns, educational workshops, and conference presentations.
- Broadcast & Film Festivals: If the film is entered into public film festivals or broadcast platforms, co-crediting protocols will follow the production agreement.
- Raw Archival Rights: Curated B-roll and high-value community footage may be licensed for long-term organizational archive libraries by mutual agreement.
4. Website Terms & Conditions
(Public-Facing Terms for www.w3ays.co.za)
4.1 Acceptance of Terms
By accessing, browsing, or booking services via www.w3ays.co.za, users and prospective clients agree to be bound by these Terms and Conditions, all applicable South African laws, and our Privacy Policy.
4.2 Booking Verification
Quotes generated through digital channels, emails, or booking forms become binding contracts only when confirmed in writing by W3AYS Photography and accompanied by the required 50% deposit.
4.3 Content Ownership & Copyright Notice
All imagery, video clips, graphics, audio, and written text displayed on www.w3ays.co.za are the intellectual property of W3AYS Photography, protected under South African and international copyright treaties. Unauthorized downloading, screen-scraping, republication, or commercial exploitation is strictly prohibited.
4.4 Portfolio & Showcase Rights
W3AYS reserves the right to display selected photographs, video highlights, and behind-the-scenes material from commissioned projects on its website, social media channels, award submissions, and marketing materials, unless the Client has executed a written non-disclosure agreement (NDA) or embargo request prior to production.
4.5 Force Majeure & Grid Disruptions
W3AYS Photography is not liable for performance failures, delays, or interruptions caused by circumstances beyond reasonable control, including natural disasters, severe weather, civil unrest, road closures, strikes, or municipal electrical grid failures / scheduled load shedding. W3AYS maintains battery-powered mobile production equipment to minimize disruptions.
4.6 Governing Law & Jurisdiction
These Terms are governed by the legal framework of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the Magistrate’s or High Court of South Africa (Gauteng or Western Cape Divisions).

5.3 Types of Personal Information Collected
- Client Data: Full names, business names, identity/registration numbers, email addresses, phone numbers, billing/physical addresses, and banking transaction records.
- Media & Visual Data: Photographs, video recordings, audio recordings, personal likenesses, and voice recordings collected during production shoots.
- Website Data: Technical data including IP addresses, browser types, session durations, and anonymized analytics cookies.
5.4 Purpose of Processing
Personal information is processed for: executing photography, videography, and documentary production contracts; invoicing, payment processing, and accounting records; delivering digital media files via secure cloud platforms; obtaining informed consent and release documentation; customer support and communicating service updates; and legitimate business marketing (subject to opt-out rights).
5.5 Data Security, Retention & Cloud Storage
We implement robust technical and organizational measures to safeguard personal data against unauthorized access, loss, or destruction. Digital deliverables are hosted on enterprise-grade cloud servers (Google Workspace) with authenticated access. Project media files are retained on active cloud delivery links for 14 days, followed by offline encrypted archival storage in line with our data retention policy.
5.6 Data Subject Rights Under POPIA
You have the right to request confirmation of whether we hold personal information about you, request access/correction/deletion, or object to processing. You may also lodge a complaint with the South African Information Regulator:
6. Refund, Rescheduling & Cancellation Policy
6.1 Booking Deposit Policy
The 50% booking deposit is strictly non-refundable. This deposit compensates W3AYS for reserving the date, turning down competing booking inquiries, crew scheduling, and pre-production planning.
6.2 Client Rescheduling Terms
- Notice > 7 Days Prior to Shoot: The Client may reschedule the shoot to a new mutually agreed date within 60 calendar days without forfeiting the deposit (one free reschedule permitted).
- Notice Between 48 Hours and 7 Days: Rescheduling is subject to an administrative re-booking fee of 15% of the total project value.
- Notice Under 48 Hours: The full deposit is forfeited. Rebooking will require a new deposit.
6.3 Project Cancellation Provisions & Stage-Gate Kill Fees
- Pre-Production Phase (Before shoot day): 50% deposit retained; any pre-approved third-party costs already incurred (e.g., permits, specialized equipment rentals, travel tickets) must be reimbursed in full.
- Production Phase (Shoot day mobilized or in progress): 100% of production day rates and all incurred travel expenses are fully payable.
- Post-Production Phase (Filming completed, editing in progress): 80% to 100% of the total quotation value is payable based on edit completion percentage.
6.4 Cancellation by W3AYS Photography
In the improbable event that W3AYS must cancel due to severe emergency, illness, or unavoidable conflict, W3AYS will provide a vetted, professional replacement photographer/videographer of equivalent caliber with Client approval; OR issue a 100% full refund of all amounts paid (including the deposit) immediately.

For valuable consideration received, I hereby grant to W3AYS Photography, its legal representatives, successors, and clients, the irrevocable, unrestricted, worldwide right and permission to record, photograph, film, and capture my visual likeness, appearance, voice, and performance; edit, crop, composite, color-grade, and publish the resulting photographs, video footage, and audio recordings in any and all media formats; and use the content for commercial, editorial, advertising, promotional, or portfolio purposes without further notification or financial compensation.
Participant Acknowledgments:
I confirm that I am 18 years of age or older and possess full legal capacity to sign this agreement. I release W3AYS Photography from any claims, liabilities, or demands relating to defamation, invasion of privacy, or copyright infringement arising from the publication of these materials.

1. Independent Contractor Status
The Contractor acts strictly as an independent contractor and not as an employee or partner of W3AYS Photography. The Contractor is responsible for their own tax obligations under SARS.
2. Work-for-Hire & Complete IP Assignment
All footage, photographs, audio tracks, digital assets, and creative deliverables created by the Contractor while engaged on a W3AYS project constitute "work-for-hire". The Contractor hereby assigns all rights, title, copyright, and ownership in all created materials exclusively and perpetually to W3AYS Photography.
3. Non-Disclosure & Client Protection
Confidentiality: The Contractor shall keep all client discussions, unreleased media, production methodologies, and client lists strictly confidential.
Non-Solicitation: The Contractor agrees not to directly solicit, pitch, or accept private commissions from any client introduced through W3AYS for a period of twelve (12) months following the project.
4. Professional Conduct & Equipment Integrity
The Contractor agrees to arrive punctually, adhere to professional dress codes, maintain reliable equipment, follow on-set safety protocols, and represent W3AYS Photography with the highest level of integrity.
